Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, APIs, and platform provided by Tyga.Cloud Ltd ("Company", "we", "us", or "our"), a company registered in England and Wales under company number 14643275.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
1. Acceptance of Terms
By creating an account, accessing our APIs, or otherwise using any part of the Tyga.Cloud platform, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Cookie Policy. If you are using our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Service
Tyga.Cloud is a platform providing AI agent infrastructure designed to enable the building, deployment, and operation of agent-first applications. Our services span four layers:
- AI Infrastructure Services (tyga.ai) — Compute orchestration, safety guardrails, agent memory, monitoring, and compliance tooling for AI agents.
- Application Platform APIs (tyga.run) — Ready-made modules for authentication, billing, CRM, scheduling, e-commerce, and other common application services, accessible via API.
- Bare Metal Infrastructure Services (tyga.network) — Managed databases, caching, DNS, email delivery, real-time messaging, and other foundational infrastructure services.
- Venture Studio Services — Advisory, incubation, and operational support for ventures building on the Tyga.Cloud stack.
3. Account Registration
To access certain features of our platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials, including API keys.
- Promptly notify us of any unauthorised use of your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.
4. Subscription Plans & Billing
Tyga.Cloud offers various subscription plans, which may include free tiers, pay-as-you-go pricing, and enterprise agreements. By subscribing to a paid plan, you agree to the following:
- Billing cycle: Fees are billed in advance on a monthly or annual basis, depending on your chosen plan.
- Payment method: All payments are processed securely through Stripe. You authorise us to charge your designated payment method for all applicable fees.
- Price changes: We may adjust pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
- Refunds: Fees are generally non-refundable except where required by applicable law or as otherwise stated in your service agreement.
- Taxes: All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes applicable to your use of our services.
5. API Usage
Access to our APIs is subject to the following conditions:
- API keys are confidential and must not be shared publicly or embedded in client-side code.
- Rate limits apply to all API endpoints. Exceeding rate limits may result in temporary throttling or suspension of access.
- We reserve the right to modify, deprecate, or retire API endpoints with reasonable notice.
- You must not use our APIs to build competing infrastructure services.
- Automated access must comply with our acceptable use policy and must not interfere with the operation of our platform.
6. Acceptable Use
You agree not to use our services to:
- Violate any applicable law, regulation, or third-party rights.
- Transmit malware, viruses, or other harmful code.
- Engage in any activity that disrupts, damages, or impairs our services or infrastructure.
- Attempt to gain unauthorised access to any part of our systems, networks, or other users' accounts.
- Send unsolicited communications (spam) or engage in phishing.
- Use the platform for illegal content, harassment, or activities that promote violence or discrimination.
- Reverse-engineer, decompile, or disassemble any part of our platform except as permitted by law.
- Resell or redistribute access to our services without our express written consent.
We reserve the right to investigate and take appropriate action, including suspension or termination of accounts, for any violation of this section.
7. Intellectual Property
All intellectual property rights in the Tyga.Cloud platform, including software, APIs, documentation, trademarks, logos, and designs, are and remain the property of Tyga.Cloud Ltd or its licensors.
You retain ownership of all data, content, and applications you create using our platform. By using our services, you grant us a limited licence to host, process, and transmit your data solely for the purpose of providing the services to you.
Nothing in these Terms transfers any intellectual property rights from either party to the other, except as expressly stated.
8. Data Handling
We take data protection seriously. Our handling of personal data is governed by our Privacy Policy. With respect to customer data processed through our platform:
- We implement strict tenant isolation to ensure your data is segregated from other customers' data.
- We process customer data only as necessary to provide the services and as instructed by you.
- Where we act as a data processor on your behalf, we will enter into a Data Processing Agreement upon request.
- We implement appropriate technical and organisational security measures to protect your data.
9. Third-Party Services
Our platform integrates with certain third-party services. By using these integrations, you acknowledge and agree:
- Stripe: Payment processing is handled by Stripe, Inc. Your use of payment features is subject to the Stripe Services Agreement. We share necessary billing information with Stripe to process transactions.
- SendGrid (Twilio): Email delivery services are provided by Twilio SendGrid. Transactional and notification emails sent through our platform are processed by SendGrid in accordance with their privacy policy.
We are not responsible for the practices, policies, or availability of any third-party services. Your use of third-party services is at your own risk and subject to those third parties' terms and conditions.
10. Service Availability
We strive to maintain high availability of our services but do not guarantee uninterrupted or error-free operation. Specifically:
- We may perform scheduled maintenance with reasonable advance notice.
- We may need to perform emergency maintenance without prior notice to protect the integrity of our platform.
- Service level agreements (SLAs) may be available for enterprise customers under separate agreements.
- We are not liable for any downtime or service interruptions caused by factors outside our reasonable control, including but not limited to internet outages, force majeure events, or third-party service failures.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability arising out of or in connection with these Terms shall not exceed the greater of (a) the fees paid by you to us in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (£100).
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Tyga.Cloud Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of our services in violation of these Terms.
- Your violation of any applicable law or regulation.
- Any content or data you submit, store, or process through our platform.
- Your infringement of any third party's intellectual property or other rights.
13. Termination
Either party may terminate this agreement:
- You may close your account at any time through your account settings or by contacting us.
- We may suspend or terminate your access immediately if you breach these Terms, or with 30 days' written notice for any other reason.
- Upon termination, your right to use the services ceases immediately. We will make your data available for export for a period of 30 days following termination, after which we may delete it.
- Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
14. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Post the updated Terms on our website with a revised effective date.
- Notify you via email or through an in-platform notification at least 30 days before the changes take effect.
Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using our services and close your account.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
